Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between you and Formul ("Formul," "we," "us," or "our"). By accessing or using the services, creating an account, or attempting to create an account, you agree to be bound by these Terms.

1. Definitions

"Services" means Formul's software, website, internal APIs, and related offerings. "Customer Data" means information submitted to the Services by or on behalf of you. "Order Form" means any ordering document, checkout flow, or subscription selection accepted by you.

2. Eligibility and Authority

You represent and warrant that you have legal capacity to enter into these Terms and, if acting for an entity, authority to bind that entity.

You must be at least eighteen (18) years old and at least the age of majority in your jurisdiction, whichever is higher.

3. License and Access

Subject to these Terms and timely payment of fees, Formul grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription term.

4. Acceptable Use Restrictions

You shall not, and shall not permit any third party to:

  • Use the Services in violation of applicable law or third-party rights
  • Access or use the Services to build a competing service
  • Reverse engineer, decompile, or disassemble the Services except as required by law
  • Interfere with integrity, security, or operation of the Services
  • Transmit malware or unauthorized code
  • Attempt unauthorized access to data, systems, or accounts
  • Access internal APIs except through authorized product interfaces
  • Use bots, automated extraction, scraping, or harvesting against the Services

5. Prohibited Data and Compliance Restrictions

You shall not submit to the Services any regulated data requiring specialized compliance controls not expressly provided by Formul, including without limitation: protected health information under HIPAA, full payment card data subject to PCI DSS, or special-category/sensitive personal data where prohibited by applicable law or by your own compliance obligations.

6. Customer Data

As between the parties, you retain all rights, title, and interest in and to Customer Data. You grant Formul a limited right to host, copy, process, transmit, and display Customer Data solely to provide, secure, and improve the Services and to comply with legal obligations.

7. Third-Party Services and Integrations

The Services may interoperate with third-party services. Your use of third-party services is governed by the third party's terms and policies. Formul is not responsible for third-party services.

8. Fees and Payment

Fees, billing cycles, and renewal terms are set forth in the applicable Order Form and Subscription Terms. Unless otherwise stated, fees are non-cancelable and non-refundable except where required by law.

9. Term and Termination

These Terms remain in effect while you use the Services. Formul may suspend or terminate access for breach, non-payment, legal necessity, or security risk. You may discontinue use at any time, subject to applicable subscription commitments.

Subject to applicable law and retention duties, Formul may delete customer data within twenty-four (24) hours after subscription lapse, suspension, or termination.

10. Intellectual Property

Formul and its licensors retain all rights, title, and interest in and to the Services, including all intellectual property rights.

11. Warranties and Disclaimer

Each party represents it has authority to enter into these Terms. Except as expressly provided, the Services are provided "as is" and "as available."

To the maximum extent permitted by law, Formul disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Formul provides no service level agreement (SLA), uptime commitment, or response-time commitment unless expressly stated in a separate signed agreement with the tenant owner.

12. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, or data.

To the maximum extent permitted by law, each party's aggregate liability arising out of or relating to these Terms shall not exceed the fees paid or payable by you to Formul for the Services in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You will indemnify, defend, and hold harmless Formul from third-party claims arising from your use of the Services in breach of these Terms or applicable law, or from Customer Data submitted by you.

14. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. EXCEPT WHERE PROHIBITED BY LAW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION, AND NOT IN COURT.

You and Formul waive any right to a jury trial and waive any right to participate in a class action, class arbitration, collective action, private attorney general action, or any other representative proceeding.

Arbitration shall be administered by a nationally recognized arbitration provider under its applicable commercial rules, except as modified by this section. Judgment on the award may be entered in any court having jurisdiction.

15. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. The parties consent to exclusive jurisdiction and venue in state and federal courts located in New York County, New York for disputes not subject to arbitration and for proceedings to enforce or challenge arbitration awards, except where prohibited by applicable law.

16. Modifications

Formul may modify these Terms from time to time. Modified Terms become effective upon posting or as otherwise stated. Continued use of the Services after the effective date constitutes acceptance.

17. Miscellaneous

These Terms, together with any incorporated policies and Order Forms, constitute the entire agreement between the parties regarding the subject matter herein and supersede prior agreements on that subject. If any provision is held unenforceable, the remainder remains in full force and effect.
